| 摘 要： 在订立董事责任保险合同的过程中，投保人与被保险人是否履行了如实告知义务，直接影响到保险人对承保风险的正确评估以及保险费率的准确计算。因此，在董事责任保险合同中，告知主体之确定，告知方式之取舍，告知期限以及免除告知义务事由之判断，对保险人的正常经营有着至关重要的作用。 |

On the basic norms of duty of disclosure in directors’ and

| Abstract: In the process of concluding directors’ and officers’ liability insurance contract, whether the policy-holder and insurant have fulfilled the duty of disclosure directly influences the correct evaluation of underwriting risk and accurate calculation of premium rate. So, in directors’ and officers’ liability insurance contract, the confirmation of body of disclosure, the choice of method of disclosure, the judgment of time limit and exemption causes of disclosure are very important to the normal management of insurers. |
