基于人力资本特征的高技术企业公司治理结构的设计

摘  要: 高技术企业与一般企业的公司治理结构存在着较大的差别,这种差别主要源于高技术企业中人力资本的特殊性,以及人力资本在高技术企业公司治理中的权力竞争力。大多数高技术企业在快速增长的同时并没有建立符合现代企业制度的公司治理结构,这极大地阻碍了企业的生存与持续发展。该研究从人力资本的角度出发,根据高技术企业不同生命周期人力资本的特点,分析人力资本对企业治理结构的影响,并根据高技术企业成熟期的两个阶段特征,具体探讨其治理结构的设计。

Design of high-technology firms'governance structure based on human resources

Abstract: There are many differences in the governance structure between high-technology firms and general firms, and the differences arise from the specific human resources of the high-technology firms and the competence of human resources in the high-technology firms’governance structure. Most high-technology firms haven’t established the governance structure in accordance with the modern enterprise system when they’re growing fast, which hampered the enterprises’survival and sustainable development. This paper starts with the point of human resources, and analyses the impact of human resources on firms’governance structure according to the characteristics of human resources in different stages of high-technology firms, and explores the design of governance structure according to the characteristics of two stages in maturity period of high-technology firms, which is of great importance for establishing high-technology firms’ governance structure mechanism compliance with the human resources’characteristics.
