党组织参与国企公司治理的路径与法律保障研究——以国企分类改革为视角 |

| 摘 要： 在当前我国的国企改革中，党组织如何参与到公司治理之中，为其参与提供什么样的保障机制，是加强国企党的领导的研究重点之一。以国企分类改革的提出为契机，分类参与成为党组织参与国企公司治理的有效路径。沿此逻辑，党组织可以通过间接引导型与直接干预型两种方式参与到不同类型的国企公司治理之中。为实现党组织参与的“收放自如”，避免走入以党代企的认识误区，应当通过对相关立法进行完善与整合，构建起系统性的国有企业法律制度体系，使党组织参与有据，有法可依。 |

The approaches and implementation mechanism of the Party's participation in administering the state-owned enterprises under the circumstances of classification reform |

| Abstract: In the current background of state-owned enterprises reform, attention has been fixed on how the Party participates in the corporate governance, and what guarantee mechanism should be provided for the Party. An effective approach for the Party to participate in the corporate governance may be classification participation by taking the opportunity of proposing classification reform of state-owned enterprises. With such logic, the Party can participate in corporate governance of different types of state-owned enterprises via two ways: indirect guidance and direct interference. In order to achieve the goal of valid participation, one solution to this problem is to improve and integrate the legislation as well as structuring the legal system of state-owned enterprises so that there are rules and laws to abide by when the Party participates. |
