| 摘 要： 跨境企业是新时代高质量对外开放的重要载体。跨境企业的廉洁合规建设，是统筹国内反腐和涉外反腐，实现更高水平对外开放，维护国家主权、安全和发展权益的迫切需要，是随着“把一带一路建成廉洁之路”而兴起的中国原创，是廉洁价值观融入依法治企的制度设计。在国际环境更加复杂的背景下，跨境企业面临常规性法律风险、合规虚位的法律风险、政治打压带来的安全和发展风险，企业廉洁合规自治模式应上升到国家法律法规的层面，通过立法明确跨境腐败的定义、范围和入罪标准，明确跨境企业预防腐败法律义务和负激励机制，明确监察机关和相关部门监督管理职责等，以国家强制力反制美国等西方国家滥用腐败之名的企图，确保廉洁合规在跨境企业运行中更好地发挥优化营商环境、构建亲清新型政商关系、向国际社会展示廉洁形象的作用，成为中国式现代化建设的重要生力军。 |

Legal dimension of cross-border enterprises’ clean and compliance construction |

| Abstract: Cross-border enterprises are an important carrier of high-quality opening up in the new era. The building of integrity and compliance for cross-border enterprises in the new era is an urgent need to coordinate efforts to combat corruption both in China and abroad, achieve a higher level of opening up, and safeguard national sovereignty, security, and development rights and interests. It is the Chinese originality that rises with “building Belt & Road cooperation into a clean road”, and it is the system design of integrating the values of cleanness into managing enterprises according to law. In a more complex international environment, cross-border enterprises are faced with regular legal risks, legal risks caused by compliance, and security and development risks brought by political repression. Therefore, the self-governance model of corporate integrity and compliance should be elevated to the level of national laws and regulations. Through legislation, we will clarify the definition, scope, and criminalization criteria of cross-border corruption, clarify the legal obligation of cross-border enterprises to prevent corruption and the negative incentive mechanism, clarify the supervisory and management responsibilities of supervisory organs and relevant departments, and counter the abuse of corruption in the name of the United States and other Western countries with the coercive power of the state. Besides, we can also ensure that integrity and compliance can play a better role in the operation of cross-border enterprises in optimizing the business environment, building a new type of pro-Popian government and business, and showing the image of integrity to the international community, and become an important new productive force in Chinese-style modernization construction. |
