论专利使用权出资的法律制度构建 |

| 摘 要： 专利使用权出资具有合理性与适格性，明确专利使用权出资的正当性有着促进经济发展的现实意义。我国应当通过立法明确专利使用权出资，并构造专利使用权出资法律制度，其核心是构建专利使用权评估制度和打造专利使用权出资程序。前者包括设立专利价值评估委员会指导评估工作、建立专利经济价值评估指标体系、引入评估责任追究机制和设立专利使用权评估监督机制；后者包括签订出资协议与专利实施许可合同、公司章程中明确出资事项及责任、办理专利使用权出资转移手续以及披露专利使用权出资信息。 |

On the legal system construction of patent licensing right as investment |

| Abstract: Patent licensing right as investment is reasonable and eligible, and specifying the legitimacy of using patent licensing right as investment is of practical significance to promoting economic development. China should clarify, through legislation, that patent licensing right can be used for investment, and should construct a legal system for patent licensing right as investment. The core of this system is to establish a patent valuation system and create a patent licensing investment process. The former includes setting up a patent value evaluation committee to guide the evaluation work, establishing a patent value evaluation index system, introducing an evaluation accountability mechanism, and constructing a supervision system for patent licensing right valuation. The latter includes signing investment agreements and patent implementation licensing contracts, incorporating patent licensing investment matters and responsibilities into the articles of incorporation, processing the transfer procedures of the patent licensing right as investment, and disclosing the investment information. |
