有关商誉权几个法律问题的探讨 |

摘 要: 商誉权是商主体对其所创造的商誉所享有的专有权和不受侵害权。商誉对于商主体而言是追逐超额利润的手段,具有工具价值,不同于名誉权对于自然人的目的性价值,因此商誉权异于名誉权而具有无形财产权性质。在我国现阶段相关法律制度缺失的状况下,商誉侵权主体仅限于有竞争关系的经营者,不仅造成对于商誉权的保护不力,更易导致商誉权法律性质的混乱,有必要借鉴国外经验建立相关法律制度。我国对商誉侵权形式仅规定为捏造、散布虚假事实,不能够有力地保护商誉权,应规定更宽泛的范围。 |

On legal issues of right of goodwill |

Abstract: Right of goodwill is an exclusive right for business subjects to free from injury to their goodwill. For business subject, goodwill is a means of acquisition of excess profits and it′s different from reputation right. The right of goodwill is a kind of intangible property right. Being lack of related legal system in China, subject of goodwill tort confined to competitive business not only fails to protect goodwill effectively, but tends to make the legal nature of goodwill more indistinct. We should learn from other countries to set up related legal system. |
